Terms of Use

1. Who we are and what this Agreement covers

These Terms of Use (the "Agreement") are between Lutendotech OÜ, registered in Estonia, registration number 16734112, Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 3 // 5 // 7, 10145 ("Lutendo", "we", "us") and you.

This Agreement applies to https://lutendo.com and its subdomains, the Lutendo platform at https://lutendo.app, and all services offered through them (the "Services").

Two kinds of users enter this Agreement in different roles:

Sellers — businesses (including agencies acting for their clients) that run campaigns to obtain genuine, verified reviews of their products or business profiles. If you accept this Agreement on behalf of an entity, you represent and warrant that you are authorized to bind it.
Testers — individuals, acting as consumers, who apply to campaigns, purchase or visit, test, and publish honest reviews.

Where a provision applies to only one role, it says so. Statutory consumer rights of Testers are not limited by this Agreement.

We may amend this Agreement. We will announce material changes on the Website or by email at least 14 days before they take effect; continued use after the effective date constitutes acceptance. For Testers, changes that materially affect a running campaign participation apply only to participations started after the effective date.

2. Definitions

Campaign — an activity created by a Seller on the platform to obtain reviews: either a Marketplace Campaign (a product sold on an external marketplace such as Amazon; the review target is the product listing) or a Social Campaign (a business profile on Google, Trustpilot or TripAdvisor; the review target is the profile).
Credit — the unit of service consumption. One Credit is consumed when a Seller accepts one Tester application.
Plan — the optional renewing package described in §5.1, which grants a credit allowance per billing period.
Application — a Tester's participation in a Campaign, tracked through defined statuses visible to both parties.
Review — the Tester's own, honest, public evaluation, published on the external platform designated by the Campaign.
Verification — Lutendo's automated confirmation that a published Review exists publicly and originates from the participating Tester. Verification never assesses or requires any particular content or star rating.
Reimbursement — repayment of the Tester's documented product purchase price in a Marketplace Campaign, funded by the Seller. Two modes: Guaranteed Payout (Lutendo-processed: credited to the Tester's Wallet upon Verification, from funds the Seller deposited in advance) and Seller-Processed Reimbursement (paid by the Seller directly to the Tester's designated payout method and confirmed by both parties on the platform).
Wallet — the Tester's balance ledger on the platform, showing available and on-hold amounts and every transaction.
Points — non-monetary loyalty units awarded to Testers (§9). Points have no cash value and are not Reimbursement.
All-Inclusive — an optional managed service where Lutendo operates campaigns on the Seller's behalf, quoted individually on request and invoiced.

3. The Services — and what we do not promise

Lutendo is a platform that connects Sellers and Testers, structures the campaign process, verifies Reviews, processes or tracks Reimbursements, and gives both sides full status visibility.

We do not promise, sell, or influence review content. Testers alone decide what they write and what rating they give. Lutendo does not guarantee any star rating, review content, ranking, sales result, or that any external platform will retain a Review. Sellers must not request, incentivize, or condition anything on a particular rating or content; campaign briefs must be neutral. Conditioning any benefit on positive review content is prohibited on this platform.

External platforms. Purchases, visits and Reviews take place on third-party platforms (marketplaces, Google, Trustpilot, TripAdvisor). Each Seller is solely responsible for ensuring its campaigns comply with the laws applicable to it and with the terms and policies of the sales channels it selects. Lutendo does not warrant any external platform's treatment of reviews and is not responsible for actions those platforms take.

4. Eligibility, accounts, security

The Services are for users 18 years of age or older. One account per user unless we expressly permit otherwise. Provide accurate information and keep it current. Keep your credentials confidential; you are responsible for activity on your account; notify [email protected] immediately of suspected unauthorized use. We may require identity, know-your-business, or product/profile ownership verification from Sellers and may suspend campaigns until such verification is satisfied.

5. Seller terms

5.1. Credits, the Plan, and pricing. Campaign capacity is bought as Credits. Prices shown at checkout govern; currently:

Plan: EUR 99 per billing period for an allowance of 25 Credits (EUR 3.96 per Credit). Allowance Credits are valid for the billing period in which they are granted. Unused allowance Credits lapse at the end of the billing period and do not carry over. If you cancel the Plan, already-granted allowance Credits remain valid until the end of the period you paid for, then lapse.
Extra Credits: EUR 5.90 per Credit, purchased without any commitment. Purchased extra Credits do not expire.
All-Inclusive: quoted individually on request; invoiced.

A Credit is consumed when you accept a Tester application. If an accepted application is cancelled, the Credit returns to its origin: a purchased extra Credit returns as a non-expiring Credit; an allowance Credit returns with an expiry of the later of its original expiry date or 14 days after the cancellation. A Credit tied to an accepted, in-progress application at the time of a Plan renewal remains committed to that application; if that application is later cancelled, the 14-day rule runs from the cancellation date. Credits are not transferable between accounts.

5.2. Funding Reimbursements. For Guaranteed Payout campaigns, the Seller deposits the reimbursement pool in advance by bank transfer as shown at checkout; Lutendo holds and uses these funds solely to execute Reimbursements for that Seller's campaigns. For Seller-Processed campaigns, the Seller must reimburse the Tester promptly after Verification, within the timeframe shown on the platform, using the payout details the Tester has provided on the platform.

5.3. Fees. Service fees and the All-Inclusive quote are as displayed at checkout or quoted in writing. Unpaid amounts may be deducted from deposited funds or become an outstanding bill payable via the settlement page.

5.4. Neutral conduct. Sellers must let Testers form their own opinion: no content or rating instructions, no coupling of Reimbursement to rating, no contacting Testers outside the platform's structured flows. Sellers remain responsible for product safety and legality, and for reasonable assistance if a Tester encounters product problems.

5.5. Seller default. If a Seller fails to process due Reimbursements or refunds, we may restrict the account to a settlement/refund interface until resolved, apply deposited funds to the obligation, and/or suspend campaigns.

5.6. Agencies may operate campaigns for clients; the agency remains our contracting party and warrants that it is authorized by each client, including for ownership verification.

6. Tester terms

6.1. Honest reviews only. You write your own opinion. Your Reimbursement never depends on your rating — only on completing the process (documented purchase or visit, published Review, Verification).

6.2. Timeframes. Each Campaign shows fixed windows for the purchase and for the Review, with a stated grace allowance. Applications lapse if the windows expire.

6.3. Wallet & withdrawals. Guaranteed Payouts are credited to your Wallet upon Verification. Credited amounts are shown on hold until the marketplace return window (approximately 30 days from purchase) has passed, and then become withdrawable. Withdrawals are made by SEPA bank transfer; the minimum withdrawal is EUR 20; withdrawals below the minimum, where permitted, carry a 5% processing fee. Keep your payout details current; failed payouts can be repaired in your account.

6.4. Seller-Processed Reimbursements are paid by the Seller directly to the payout method you designate on the platform (PayPal, bank transfer, or cryptocurrency). Both parties confirm the payment on the platform. Lutendo does not itself send, receive, or hold cryptocurrency.

6.5. Returns & repayment. Returning a product after Reimbursement, deleting a verified Review to defeat the process, or similar abuse entitles us to (i) suspend the account into a settlement-only mode, (ii) set off against your Wallet balance (including a resulting negative balance recoverable from future earnings), and (iii) demand repayment. Genuine warranty or defect returns are not abuse; contact support first.

6.6. Independence. You are not our employee or contractor; testing is a voluntary consumer activity. You are responsible for your own tax treatment of amounts received; Lutendo provides transaction records but no tax advice.

6.7. Consumer rights. Where statutory withdrawal rights apply to services you obtain from us, they are described in the Refund & Cancellation Policy. Nothing in this Agreement limits your mandatory consumer rights, including those of your country of residence.

7. Payments

Seller payments are processed by our payment providers: Stripe (cards and supported wallets) and SEPA bank transfer; payout processing is performed with our payment partner ConnectPay. The payment provider's terms govern the payment transaction itself. We do not store full card data.

Lutendo does not accept cryptocurrency. Bitcoin or other crypto-asset deposits to Lutendo are not eligible and may be unrecoverable if sent. (Cryptocurrency may be used only between Seller and Tester as a Seller-Processed Reimbursement rail under §6.4.)

8. Refunds & cancellation (summary — the full Refund & Cancellation Policy applies)

Purchases can be cancelled within 14 days of purchase provided no significant action has been taken to provide the service. Consumption of any Credit or initiation of any campaign constitutes commencement of services; from that point the related purchase is non-refundable except as stated in the Refund & Cancellation Policy. Plan cancellation takes effect at the end of the current paid period (§5.1). Deposited reimbursement pools for campaigns not yet run are refundable on request, less transaction costs. The Refund & Cancellation Policy forms part of this Agreement.

9. Points program (Testers)

Points reward timely, complete participation (milestones, speed multipliers, referral, teams, and periodic prizes as announced in-product). Points are not money, have no cash value, and are non-transferable. We may adjust points and modify or discontinue the program prospectively at any time; abuse (fake accounts, manipulation) voids points. Announced prizes are awarded per their stated conditions on the basis of skill-based ranking; no games of chance are operated.

10. Content & intellectual property

The platform and its content belong to Lutendo or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services in accordance with this Agreement. You agree not to copy, adapt, distribute, publicly display, or exploit the Services beyond this license, and not to reverse engineer the software.

Reviews are published by Testers on external platforms under those platforms' terms; the Tester is their author. The Tester grants Lutendo and the campaign Seller a non-exclusive, worldwide license to reference, excerpt and display the Review — including anonymized excerpts on our websites and materials — for the purposes of operating, documenting and promoting the Services.

Feedback you send us about the Services may be used by us without restriction.

11. Prohibited conduct

No unlawful use; no fake accounts, bots, or manipulation of reviews, points, or verification; no malware; no scraping beyond permitted interfaces; no unlawful, defamatory, or otherwise inappropriate material; no circumvention of platform flows (for example, moving payout arrangements off-platform); no use in violation of applicable sanctions regimes (EU, UN, and other applicable authorities).

12. Suspension & termination

You may close your account at any time; accrued obligations survive. We may suspend or terminate accounts for breach, fraud signals, legal compliance, or non-payment — with notice and an opportunity to remedy where proportionate, and immediately where necessary. On termination we settle balances: a Tester's available Wallet funds are paid out; a Seller's unconsumed deposits are returned less amounts owed. Provisions that by their nature survive termination (including §§10–15) survive.

13. Disclaimers & liability

The Services are provided with reasonable skill and care. To the extent permitted by law, we are not liable for indirect or consequential damages, loss of profits, or the acts or omissions of external platforms; our total liability is capped at the amounts paid by you to us in the six (6) months preceding the event giving rise to the claim. Nothing in this Agreement limits liability for intent, gross negligence, death or personal injury, or any other liability that cannot be limited by law. Statutory warranty rights of consumers remain unaffected.

14. Indemnification (Sellers)

Sellers shall indemnify and hold Lutendo harmless against third-party claims arising from their products, their campaigns' compliance with sales-channel policies and applicable law, and content they provide, including reasonable legal costs.

15. Governing law & disputes

This Agreement is governed by the laws of the Republic of Estonia. For consumers, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence, and you may bring or face proceedings in that country's courts where the law so provides. EU consumers may also use the EU online dispute resolution platform (https://ec.europa.eu/consumers/odr). The parties will first attempt to resolve disputes in good faith via [email protected]; a party asserting a claim shall describe it in writing, and if no resolution is reached within thirty (30) business days, the dispute may be brought before the competent court.
